Can you explain "offset" in countertrade?

Can anyone explain to me the "offset" in countertrade? If you can give some examples, it would be great. Thank you.

2. in my opinion offset in counter trade is the position,in which there is no the seller who wants sell but can't,or the buyer who wants buy but can't. the price is suitable for both. but you don't believe me :),its just my opinion.
